Terms of Service

Who can use the Services

You must be at least [MINIMUM AGE] and able to form a binding contract to use the Services. If you use the Services on behalf of a business, you confirm you are authorized to bind that business to these Terms.

Your account

You are responsible for the information in your account, for keeping your login secure, and for activity under your account. Tell us right away if you think your account has been used without permission.

Neon credits

• Credits are earned by making qualifying purchases at participating businesses and scanning a valid receipt in the app.
• Credits can be spent at participating businesses to reduce your bill, confirmed with staff using the code shown in the app.
• Credits are not cash, not a gift card and have no cash value. They cannot be sold, purchased or exchanged for money.
• Credits are non-transferable [CONFIRM] and may expire [CONFIRM EXPIRATION RULES OR DELETE].
• We may change how credits are earned or spent, with notice in the app.

Receipts and fraud

You may only submit genuine receipts for purchases you made. Submitting altered, duplicate or someone else’s receipts, or otherwise abusing the Services, may result in removal of credits and suspension or termination of your account.

For participating businesses

• You set your customer acquisition cost (CAC) for first and return visits in the app, and you are charged only for qualifying visits that meet your minimum purchase.
• Charges are made to the card you add through Stripe. When customers spend credits with you, Neon pays you back in full on the 1st of each month to the payout account you set up through Stripe.
• You agree to Stripe’s terms for payment processing and to honor credits presented by Neon customers.
• Additional terms for businesses are in the [MERCHANT AGREEMENT], which controls if it conflicts with these Terms.

Acceptable use

Do not misuse the Services. This includes breaking the law, interfering with the Services, accessing them by automated means without permission, impersonating others, or posting content that is unlawful or infringes someone else’s rights.

Content and intellectual property

You keep ownership of content you submit, such as business photos and descriptions, and give us a license to use it to operate and promote the Services. The Services, including the Neon and Together Tools names and logos, belong to Together Tools Inc. and are protected by law.

Disclaimers

The Services are provided “as is” and “as available.” To the extent allowed by law, we disclaim all warranties, express or implied. We are not responsible for the products, services or conduct of participating businesses.

Limitation of liability

To the extent allowed by law, Together Tools will not be liable for indirect, incidental, special or consequential damages, and our total liability for any claim relating to the Services is limited to the greater of the amounts you paid us in the 12 months before the claim or [AMOUNT, E.G. $100].

Ending your use

You can stop using the Services and delete your account at any time. We may suspend or end access if you break these Terms or to protect the Services. Sections that by their nature should survive will survive termination.

Governing law

These Terms are governed by the laws of the State of California. Disputes will be resolved in the state or federal courts located in San Luis Obispo County, California, unless the law requires otherwise.

Changes to these Terms

We may update these Terms. If we make material changes, we will notify you in the app or by email before they take effect. Continuing to use the Services means you accept the updated Terms.
